Corporate Associate

About the role

Bowmans is seeking a Corporate Associate to join its corporate and commercial practice. The role involves providing transactional, regulatory and commercial contracting advice to a diverse client base.

Key responsibilities

• Draft and review a wide range of commercial agreements.
• Advise on and assist with mergers, acquisitions, disposals and corporate restructurings, including preparation of transaction documentation.
• Provide regulatory advice across sectors and support clients with compliance matters.
• Draft resolutions for shareholders and directors of public and private companies.
• Advise on competition law matters such as merger notifications, restrictive practices and abuse of dominance.
• Prepare legal opinions, memoranda and advice on corporate governance, company law and general commercial issues.
• Conduct legal due‑diligence reviews and produce due‑diligence reports for corporate transactions.
• Research emerging legal and regulatory developments affecting clients.

Required profile

• LLB degree with a solid academic record.
• 2‑5 years of post‑admission experience in corporate and commercial practice, preferably with exposure to transactional work, regulatory advisory and commercial contracting.
• Interest or experience in mergers and acquisitions, corporate restructurings, banking and finance, competition law, tax, energy & natural resources, or general commercial transactions.

Required skills

• Proficiency in Microsoft Word.
• Proficiency in Microsoft Outlook.
• Knowledge of Microsoft Excel (advantageous).
• Knowledge of Microsoft PowerPoint (advantageous).
